1. Acceptance of Terms

These Terms of Use ("Terms") are a legally binding agreement between you ("you" or "User") and Maps and Data LLC, a Minnesota limited liability company doing business as Honeycomb Maps ("Honeycomb Maps," "we," "us," or "our").

By accessing or using the Honeycomb Maps geospatial web application and related services (collectively, the "Service") at honeycombmaps.com, app.honeycombmaps.com or any successor URL, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Honeycomb Maps is a geospatial web application that allows users to upload, visualize, and share geographic and spatial data. The Service includes features for data upload, map rendering, and the creation of shared links.

3. Eligibility

You must be at least 13 years of age (or the applicable age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement.

4. Accounts

4.1 Account Creation

To use certain features of the Service, you must create an account using Amazon Cognito or Google Sign-In. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time, for any reason, without notice or liability.

5. Free Service Tier

5.1 Free Access

The Service is currently offered at no cost under a free tier ("Free Tier"). We reserve the right to modify, suspend, or discontinue the Free Tier (or any part of the Service) at any time, with or without notice, and without liability to you.

5.2 No Service Level Guarantees

The Free Tier is provided without any service level commitments. We make no guarantees regarding uptime, availability, performance, data integrity, or data retention for Free Tier users.

6. Paid Plans

We may offer paid subscription plans ("Paid Plans") that provide additional features, capacity, or service level commitments. Paid Plans will be governed by separate or supplemental terms presented at the time of purchase. In the event of a conflict between these Terms and any Paid Plan terms, the Paid Plan terms will control to the extent of the conflict.

7. User Data and Content

7.1 Ownership

You retain all ownership rights in the data, files, and content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely as necessary to provide the Service to you.

7.2 Responsibility for User Content

You are solely responsible for your User Content, including its accuracy, legality, and appropriateness. You represent and warrant that:

You have all necessary rights and permissions to upload and share the User Content.
Your User Content does not infringe or violate the intellectual property rights, privacy rights, or other rights of any third party.
Your User Content does not violate any applicable law or regulation.

7.3 Shared Links

If you create a shared link, you understand and agree that the data associated with that link becomes accessible to anyone who has the URL. You are solely responsible for controlling the distribution of shared links and for any consequences of sharing your data in this way. Honeycomb Maps is not liable for any unauthorized access to data you have made available through shared links.

You may delete or revoke a shared link at any time through the Service's user interface. Once a shared link is deleted, the associated data will no longer be accessible via that URL. However, Honeycomb Maps is not responsible for any access to or copies of the data that occurred prior to deletion, nor for any cached or downloaded copies of the data in the possession of third parties.

7.4 Prohibited Content

You agree not to upload, transmit, or share any User Content that:

Is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
Infringes any patent, trademark, trade secret, copyright, or other proprietary right of any party
Contains malware, viruses, or any harmful code
Violates any applicable law or regulation, including export control and data protection laws
Contains sensitive personal data (such as Social Security numbers, financial account numbers, or health records) unless you accept all risk associated with doing so

8. Acceptable Use

You agree not to:

Use the Service for any illegal purpose or in violation of any applicable law
Attempt to gain unauthorized access to the Service, other user accounts, or any systems or networks connected to the Service
Interfere with or disrupt the integrity or performance of the Service
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service to transmit spam, chain letters, or other unsolicited communications
Use automated scripts, bots, or scrapers to access the Service without our prior written consent
Resell, sublicense, or commercially exploit the Service without our prior written consent

9. Intellectual Property

9.1 Our Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Maps and Data LLC. The Service is protected by copyright, trademark, and other intellectual property laws.

9.2 Feedback

If you provide us with suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use, modify, and incorporate that Feedback without any obligation to you.

10. Digital Millennium Copyright Act (DMCA) Policy

10.1 DMCA

Maps and Data LLC respects the intellectual property rights of others. Per the DMCA, we will respond expeditiously to claims of copyright infringement on the Site if submitted to our Copyright Agent as described below. Upon receipt of a notice alleging copyright infringement, We will take whatever action it deems appropriate within its sole discretion, including removal of the allegedly infringing materials and termination of access for repeat infringers of copyright-protected content.

If you believe that your intellectual property rights have been violated by us or by a third party who has uploaded materials to our website, please provide the following information to the designated Copyright Agent listed below:

A description of the copyrighted work or other intellectual property that you claim has been infringed;
A description of where the material that you claim is infringing is located on the Site;
An address, telephone number, and email address where we can contact you and, if different, an email address where the alleged infringing party, if not we, can contact you;
A statement that you have a good-faith belief that the use is not authorized by the copyright owner or other intellectual property rights owner, by its agent, or by law;
A statement by you under penalty of perjury that the information in your notice is accurate and that you are the copyright or intellectual property owner or are authorized to act on the owner's behalf;
Your electronic or physical signature.

Maps and Data LLC may request additional information before removing any allegedly infringing material. In the event we remove the allegedly infringing materials, we will immediately notify the person responsible for posting such materials that we removed or disabled access to the materials. We may also provide the responsible person with your email address so that the person may respond to your allegations.

10.2 Repeat Infringers

We reserve the right to terminate the accounts of users who are determined to be repeat infringers in appropriate circumstances.

11. Export Controls and Sanctions Compliance

You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory subject to United States trade sanctions or embargoes, including those administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC) or the U.S. Department of Commerce's Bureau of Industry and Security (BIS). You further represent that you are not on any U.S. government restricted party list, including the Specially Designated Nationals and Blocked Persons List (SDN List).

You agree to comply with all applicable export control laws, trade sanctions, and import regulations when using the Service, including when uploading, sharing, or distributing data through the Service. You shall not use the Service to upload, transmit, or share any data, technology, or technical information in violation of applicable export control or sanctions laws.

12. Not for Life-Critical or Professional Reliance Use

THE SERVICE IS NOT INTENDED FOR AND MUST NOT BE USED IN CONNECTION WITH ANY LIFE-CRITICAL, SAFETY-CRITICAL, OR HIGH-RISK ACTIVITIES. This includes, but is not limited to:

Navigation (air, sea, land, or personal)
Search and rescue operations
Emergency response or disaster management
Land surveying, boundary determination, or legal property descriptions
Engineering, construction, or infrastructure design
Aviation or maritime operations
Military or defense applications
Any application where inaccurate, delayed, or unavailable geospatial data could result in death, personal injury, property damage, or environmental harm

The maps, visualizations, and geospatial data rendered by the Service are for informational and general reference purposes only. They should not be relied upon as a substitute for professional surveying, engineering, navigation, or other expert services. The Service may contain errors, inaccuracies, or omissions in positioning, rendering, or data processing.

BY USING THE SERVICE, YOU ACKNOWLEDGE AND AGREE THAT YOU WILL NOT USE THE SERVICE FOR ANY LIFE-CRITICAL OR SAFETY-CRITICAL PURPOSE, AND THAT MAPS AND DATA LLC SHALL BEAR NO RESPONSIBILITY OR LIABILITY FOR ANY SUCH USE.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAPS AND DATA LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE SERVICE OR ANY DATA PROCESSED THROUGH THE SERVICE
ANY WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
ANY WARRANTIES REGARDING THE PRESERVATION, INTEGRITY, OR SECURITY OF USER CONTENT

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA RESULTING FROM YOUR USE OF THE SERVICE.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAPS AND DATA LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR:

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSSES

ANY DAMAGES ARISING FROM:

YOUR USE OF OR INABILITY TO USE THE SERVICE
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS
ANY THIRD-PARTY CONDUCT ON OR RELATED TO THE SERVICE
LOSS, CORRUPTION, OR UNAUTHORIZED DISCLOSURE OF USER CONTENT
ANY RELIANCE ON DATA, MAPS, VISUALIZATIONS, OR OTHER OUTPUT PRODUCED BY THE SERVICE
ANY INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICE

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) TEN DOLLARS ($10.00 USD).

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING BUT NOT LIMITED TO CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

15. Indemnification

You agree to indemnify, defend, and hold harmless Maps and Data LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

Your use of the Service
Your User Content
Your violation of these Terms
Your violation of any applicable law or the rights of any third party
Your distribution of shared links or any third-party access to data you shared through the Service

16. Third-Party Services

The Service relies on third-party infrastructure providers, including Amazon Web Services and Google. Your use of the Service is also subject to the terms and policies of these providers. We are not responsible for the acts or omissions of any third-party service provider.

17. Force Majeure

Maps and Data LLC shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, riots, government actions or orders, embargoes, sanctions, labor disputes, power failures, internet or telecommunications failures, cyberattacks, failures of third-party infrastructure providers (including Amazon Web Services or Google), or any other cause beyond our reasonable control (each, a "Force Majeure Event"). During any Force Majeure Event, our obligations under these Terms shall be suspended for the duration of the event, and we shall not be liable for any resulting interruption, delay, or loss of data.

18. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

19. Modifications to These Terms

We may revise these Terms from time to time. When we do, we will update the "Last Updated" date at the top. Material changes will be communicated through the Service or via email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

20. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict-of-law principles. Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Minnesota, and you consent to the personal jurisdiction of such courts.

21. Dispute Resolution

21.1 Informal Resolution

Before filing any formal legal claim, you agree to first contact us at support@honeycombmaps.com and attempt to resolve the dispute informally for at least thirty (30) days.

21.2 Waiver of Class Actions

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

22. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

23. Entire Agreement

These Terms, together with our Privacy Policy and any Paid Plan terms, constitute the entire agreement between you and Maps and Data LLC regarding your use of the Service and supersede all prior agreements and understandings.

24. No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

25. Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
